BackKhaitan & Co advised Bain Capital on its acquisition (through its affiliates Integral Investments Asia IV Ltd and BCPE Wellbeing Holdco Two Ltd) of UK’s Vitabiotics Group, comprising Omega Meyer and its subsidiaries across the United Kingdom, India, China, Egypt, Nigeria, Indonesia, the United States, Jersey, the Bahamas and Switzerland and Meyer Organics Pvt Ltd in India.
The transaction marks a significant cross-border acquisition in the healthcare and consumer wellness sector.
Vitabiotics is UK's leading vitamin company, with a portfolio of well-known brands including Pregnacare, Wellman, Wellwoman, Perfectil, Osteocare, and the Ultra range.
The Firm conducted legal due diligence on the Indian target entities, and advised on transaction structuring, bid submission, negotiation and finalisation of the transaction documents.
