Khaitan & Co advised ABC Impact, a division of Temasek Trust Asset Management and a shareholder of Health Care at Home India (HCAH), in connection with the proposed combination of the patient support programme businesses of HCAH and QMS Medical Allied Services Ltd (QMS) through a composite scheme of arrangement. The transaction involves the demerger of the patient support programme businesses of HCAH and QMS into Saarathi Healthcare Private Limited, a wholly owned subsidiary of QMS, with the combined platform proposed to become India’s largest patient support programme platform.
The Firm advised ABC Impact on the structuring of the transaction and the negotiation and finalisation of the transaction documents, including the shareholders’ agreement, composite scheme of arrangement and implementation agreement.
