BackKhaitan & Co advised FIT 3PL Warehousing Pvt Ltd (a wholly owned subsidiary of TVS Supply Chain Services Ltd) on the execution of definitive agreements for the proposed acquisition of a 100% stake in Swamy & Sons 3PL Pvt Ltd.
The transaction contemplates the consolidation of Swamy Sons Group of Companies logistics and warehousing businesses into Swamy & Sons 3PL Pvt Ltd followed by a two tranche acquisition of Swamy & Sons 3PL Pvt Ltd through a combination of primary and secondary acquisition of securities.
The Firm was involved on all aspects of the transaction, including conducting a limited legal due diligence on the target, drafting, negotiating, and finalizing transaction documents.
