Khaitan & Co advised Systra on Indian aspects of the deal in relation to acquisition of 100% of the share capital of Ardanuy Ingeniería S.A., a Spanish company renowned for its expertise in rail systems, metro, and urban transport with branches and subsidiaries in South America, India, and the Baltic countries. The acquisition will enable Systra to strengthen its technical expertise in the field of transport systems and infrastructure and expand its footprint across Europe, Latin America, India and the Baltics.
In India, Ardanuy’s existing presence (through various entities) will enable Systra to consolidate its existing role as a key enabler of India’s smart urban mobility agenda, including deeper technical support in metro and rail agencies and timely delivery of complex mobility projects.
The transaction involved 16 jurisdictions and resulted in acquisition of subsidiaries and branches located in South America, India, the Baltics.
The Firm assisted Systra on Indian aspects of the deal, including conducting due diligence, advising on transaction documents and providing closing assistance involving various Indian subsidiaries of Ardanuy Ingeniería.
