Khaitan & Co advised RPSG Ventures Ltd, Woodlands Multispeciality Hospital Ltd and Clarionix Healthcare Pvt Ltd on a Composite Scheme of Arrangement amongst the companies and their respective shareholders and creditors under Sections 230–232 of the Companies Act, 2013, providing for (i) the amalgamation of Woodlands Multispeciality Hospital Ltd with RPSG Ventures Ltd, and (ii) transfer and vesting of the Hospital & Nursing Undertaking from RPSG Ventures Ltd into Clarionix Healthcare Pvt Ltd, its wholly owned subsidiary.
