Khaitan & Co advised Pricol Ltd on the scheme of arrangement between Pricol Ltd and Pricol Autotech Ltd and their respective shareholders and creditors, providing for the demerger of Pricol's Driver Information & Connected Vehicle Solutions (DICVS) business into Pricol Autotech Ltd.
The restructuring creates two focused platforms — Pricol Autotech as a dedicated automotive technology entity housing the DICVS business (smart mobility and integrated electronic solutions, including driver information systems, instrument clusters, infotainment and e-cockpit solutions), while Pricol Ltd continues to focus on its Actuation, Control & Fluid Management Systems and Precision Products businesses. The demerger is designed to simplify the group's corporate structure, sharpen each business's strategic focus, enable independent capital allocation and faster decision-making, and unlock shareholder value.
