FMC Corporation - Divestment of India crop protection commercial business

Khaitan & Co advised FMC Corporation on its divestment of India crop protection commercial business to Crystal Crop Protection Limited for a total consideration of USD 252 million.

FMC group entered into definitive agreements to divest its India 'crop protection commercial business' housed in FMC India Private Limited through sale of 100% equity stake of FMC India Private Limited. The transaction contemplates divestment of 100% stake of FMC India upfront along with preferred access to FMC India post sale to certain pipeline products of FMC India as per pre-agreed terms.

The Firm role included advising FMC on structuring, preparing vendor due diligence report, internal reorganisation of the company, bid stage advice, anti-trust analysis and advice, negotiation with bidders and finalisation of transaction documents which included a share purchase agreement, side letter agreement and ancillary agreements such as Intellectual property License Agreement, Innovation Access Agreement, Transition Services Agreement, Supply Agreement and Reverse Supply Agreement.
