Khaitan & Co advised Blackstone portfolio company, R Systems International Ltd (RSIL), in relation to acquisition of 100% of the equity share capital of Novigo Solutions Pvt Ltd ("Novigo"), upon completion on the condition precedents set out in the documents.

The founders of Novigo also hold compulsory convertible preference shares (“CCPS”) of Novigo and the RSIL may at a later stage, as may be approved by the Board, acquire such CCPS, subject to the terms and conditions set out in the shareholders agreement dated August 21, 2025, entered into between Novigo, RSIL and the founders. 

The Firm conducted a due diligence on the target and drafted and negotiated transaction documents (including a shareholders' agreement and a share purchase agreement).
