BackKhaitan & Co advised Adventz Developers LLP on the formation of a 50:50 joint venture with Nobilia International GmbH (“Nobilia”), a German company within the Nobilia group, which is primarily engaged in the business of kitchen and other furniture manufacturing.
The joint venture company named Nobilia India Pvt Ltd (“Nobilia India”) is formed to undertake the business of importing, manufacturing and trading of kitchenware, bathroom furniture, living room furniture, and wardrobe furniture and all components and accessories in relation thereto in India, under the brand ‘Nobilia’.
Adventz is a limited liability partnership within the Adventz group of companies and is engaged in the business of investment, promotion, development, construction and real estate. The joint venture company, Nobilia India, will initially distribute the products in India.
The Firm as the legal counsel to Adventz Developers LLP and Nobilia India and advised and assisted them on structuring of the transaction, drafting, negotiation, finalisation and execution of the joint venture agreement and other ancillary agreements including trademark license agreements, marketing agreement, and supply agreement.
