BackKhaitan & Co advised and assisted Mr Ashok Soota and Happiest Minds Technologies Ltd (“HMTL”) on the (i) sale of Mr Soota’s shareholding in HMTL (c. 22%) to ITC Infotech India Ltd, a subsidiary of ITC Limited; and (ii) merger between HMTL and ITC Infotech India Ltd (“Proposed Transaction”).
The Firm advised Mr Soota and HMTL with structuring, due diligence, negotiation and documentation for the Proposed Transaction.
