BackKhaitan & Co advised Bajaj Electricals Ltd in relation to acquisition of the Morphy Richards Brand and other associated intellectual property rights from Glen Electric Ltd, in India, Bhutan, Bangladesh, Nepal, Sri Lanka and the Maldives.
The Firm assisted with the drafting, review and negotiation of the Sale and Purchase Agreement in relation to the acquisition of the Morphy Richards trademarks, together with the associated goodwill, domain names and social media accounts in India, Sri Lanka, Bangladesh, Bhutan Nepal and the Maldives.
The Firm also advised on the applicable stamp duty considerations arising from the proposed assignment of the trademarks, domain names and social media accounts, from an intellectual property perspective. In addition, the Firm coordinated with local attorneys in Sri Lanka, Bangladesh, Bhutan, Nepal and the Maldives to finalise the jurisdiction-specific short-form assignment agreements.
