BackKhaitan & Co is representing Amneal Pharmaceuticals, LLC (Amneal) as India counsels, alongside Simpson Thacher & Bartlett LLP in relation to its announced agreement to acquire 100% of Kashiv Biosciences LLC ("Kashiv"), a vertically integrated biopharmaceutical company incorporated in the United States of America, with 2 (two) subsidiaries in India (namely, Kashiv Biosciences Pvt Ltd and Kashiv Research Pvt Ltd), in a transaction with consideration that includes USD 375 million of cash and USD 375 million of equity payable at closing, plus up to USD 350 million in potential payments based on the achievement of certain regulatory milestones, potential royalties based on commercial milestones, and funding of operations through closing.
The transaction is expected to close in the second half of 2026, subject to approval by Amneal’s shareholders, regulatory approvals and customary closing conditions.
The Firm acted as India counsels to Amneal, alongside Simpson Thacher & Bartlett LLP, to assist with undertaking legal and tax due diligence, providing India law structuring advisory and finalising transaction documentation.
