The Practice
India’s semiconductor sector is entering a critical growth phase, driven by government initiatives such as the India Semiconductor Mission, incentive schemes, increased investor interest and national focus on advanced electronics manufacturing. As the sector evolves, legal clarity around technology transfers, IP protection, strategic collaborations and regulatory compliance becomes essential for emerging players, established domestic companies and global semiconductor leaders entering India.
Our dedicated semiconductor practice focuses on advising strategic semiconductor players, including global leading semiconductor foundries, suppliers, designers and domestic conglomerates across various verticals in the semiconductor supply chain.
Execution
We advise global players on acquisitions and integration of semiconductor design/ R&D targets, India foray through the setup of fabrication units, OSAT or ATMP facilities and generally structuring distribution, and supply and offtake channels from an Indian law and tax perspective. We also regularly act for domestic manufactures and foreign technology providers on collaborations and joint ventures for chip manufacturing, testing or packaging in India under the government subsidy route.
We also assist domestic and multinational players in securing government-linked incentives, meeting eligibility thresholds, mitigating regulatory exposure and managing collaboration risk across research, production and commercialisation cycles. We advise clients on India entry issues, assist with identifying, navigating and mitigating complex transactional and collaboration risks and meeting compliance requirements. Our team plays a key role in helping clients navigate through and simplifying the eligibility conditions and grant requirements to secure subsidies/financial support from central and state governments.
The Khaitan Advantage
Our expertise extends to advising global and domestic players across the entire supply value chain and semiconductor ecosystem in India. Our practice brings together expertise across technology, IP, disputes, competition, regulatory, tax and corporate advisory to support semiconductor businesses at scale. We assist with licensing transactions, IP monetisation, SEP issues, IoT and 5G regulatory considerations, cybersecurity and export controls.
We work closely with clients to build and protect IP portfolios globally, including patentability assessments, prosecution, licensing and enforcement strategies. Our integrated approach enables semiconductor clients to scale innovation, safeguard competitiveness and navigate the evolving global semiconductor ecosystem with confidence.
